Safe Harbour Transactions and APA Limitations in the UAE: What Businesses Must Know

If your group charges management fees, shared services or other intra-group costs, you need to know where the transfer pricing safe harbour in the UAE helps you and where an Advance Pricing Agreement (APA) does not. The two mechanisms are often confused, and they work very differently.

In December 2025, the Federal Tax Authority (FTA) issued its Corporate Tax Guide on Advance Pricing Agreements (CTGAPA1). It confirms that safe harbour transactions sit outside the APA programme altogether. This article explains what that means in practice and how to choose the right route for your related-party transactions.

Why Safe Harbour and APAs Matter Under UAE Corporate Tax

Article 34 of the Corporate Tax Law requires transactions between Related Parties to meet the arm’s length standard. Article 59 allows a taxable person to apply for an APA to fix the arm’s length price in advance.

Both tools aim to reduce transfer pricing risk, but they solve different problems:

Safe harbour: a simplified pricing approach that reduces the benchmarking burden for low-risk transactions.

APA: a binding agreement with the FTA on the pricing criteria for complex or high-value controlled transactions.

What Is a Transfer Pricing Safe Harbour in the UAE?

A safe harbour lets you price qualifying transactions using a prescribed shortcut instead of a full benchmarking study. The UAE Transfer Pricing Guide (CTGTP1) follows the simplified approach in Chapter VII of the OECD Transfer Pricing Guidelines for low value-adding intra-group services.

Under this approach:

  • Qualifying services may be charged at cost plus a 5% mark-up.
  • A detailed benchmarking analysis is not required for the mark-up.
  • You must still keep enough documentation to show the services are genuinely low value-adding.

Services that typically qualify

Low value-adding services are generally routine, supportive and non-core. Common examples include:

  • Accounting and bookkeeping support
  • Payroll and HR administration
  • IT helpdesk and routine system support
  • Basic legal and administrative support

Services that do not qualify

Activities that form part of the group’s core business, or that create significant value, fall outside the safe harbour. Examples include research and development, manufacturing and the use of unique intangibles. These need a full arm’s length analysis.

Safe harbour is not a documentation waiver

Many businesses assume the 5% mark-up removes all compliance duties. It does not. You still need to:

  • Show that the service was actually provided and benefited the recipient
  • Identify and support the cost base used
  • Keep intercompany agreements and invoices that match the arrangement

Meet any applicable disclosure and documentation requirements under Ministerial Decision No. 97 of 2023

What Is an APA in the UAE?

An APA is an agreement between a taxable person and the FTA. It sets the criteria for determining the arm’s length price of controlled transactions over a fixed period. It gives certainty and reduces the risk of audits and disputes.

The FTA is rolling out its programme in phases. Unilateral APAs (UAPAs) come first. Bilateral and multilateral APAs will follow, with further guidance to be issued.

Key APA Limitations Every Business Should Know

This is where many applicants are caught out. The APA route has real limits.

1. Safe harbour transactions are excluded

Controlled transactions covered by safe harbour provisions, including low value-adding intra-group services, are excluded from both the scope of an APA and the threshold calculation. You cannot use an APA to “lock in” a routine service charge that already has a safe harbour.

2. The AED 100 million materiality indicator

An APA applies where the total or expected value of the controlled transactions proposed for the APA is at least AED 100 million per Tax Period. For a Tax Group, the threshold is tested at Tax Group level, and transactions between group members are generally ignored.

The threshold is an indicator, not an absolute rule. The FTA may reject an application that meets it, or accept one that falls below it. Below the threshold, you must give a robust justification for why an APA would help.

3. Unilateral APAs bind only the UAE

A UAPA binds only the FTA and the taxable person, and only for UAE Corporate Tax purposes. It does not bind a foreign tax administration. If the other country adjusts the same transaction, you could face double taxation and may need a Mutual Agreement Procedure (MAP) or a bilateral APA to resolve it.

4. Domestic transactions first, cross-border later

The FTA has accepted UAPA applications for domestic controlled transactions since December 2025. Cross-border UAPA applications are not yet open. The FTA has said the start date will be announced during 2026. Please check the FTA website for the latest position before planning.

Domestic transactions that may qualify include dealings between a Qualifying Free Zone Person and a mainland person, and certain transactions of government entities and natural resource businesses.

5. Prospective periods only

At the initial stage, UAPAs cover future Tax Periods only. An APA runs for a minimum of three and a maximum of five Tax Periods. It cannot resolve past years.

6. Long lead times and strict deadlines

Pre-filing consultation: the FTA aims to conclude it within six to nine months.

Application: due within two months of pre-filing approval, or at least 12 months before the first covered Tax Period, whichever is earlier.

Information requests: you are expected to respond within 40 Business Days.

Annual Declaration: due within 90 Business Days of the signed APA or the Tax Return due date, whichever is later.

7. Fees are non-refundable

APA application: AED 30,000, non-refundable and inclusive of revisions to the application

APA renewal: AED 15,000, also non-refundable

If talks fail or you withdraw, there is no refund.

8. Critical assumptions can end the agreement

An APA depends on critical assumptions about your business, group and market. You must notify the FTA within 20 Business Days of any change or breach. The FTA may revise, cancel or revoke the APA. Revocation takes effect from the first Tax Period covered.

9. Only a registered Tax Agent can file

Only a Tax Agent registered for Corporate Tax with the FTA may submit an APA request on your behalf. For a Tax Group, only the Parent Company may submit.

Frequently Asked Questions

Can I apply for an APA for management fees charged at cost plus 5%?

No, if the services are low value-adding and fall under the safe harbour. Those transactions are excluded from the APA scope and the threshold calculation.

Is the AED 100 million threshold mandatory?

It is an indicator of materiality, not an absolute requirement. The FTA decides each case on its facts, including complexity and tax risk.

Does a UAE APA protect me from foreign tax audits?

Not for a UAPA. It binds only the FTA and you. Bilateral or multilateral APAs and the MAP process address double taxation across countries.

Who can file an APA request?

A Tax Agent registered for Corporate Tax with the FTA, or the Parent Company in the case of a Tax Group.
