An Advance Pricing Agreement (APA) gives your business certainty over its related party pricing. However, that certainty lasts only for as long as you keep to the terms. APA non-compliance in the UAE can lead to revision, cancellation or even revocation of the agreement, taking you back to full transfer pricing exposure.
This guide explains where businesses typically go wrong under the Federal Tax Authority (FTA) APA framework, and how to avoid it.
If you already hold, or are planning to apply for, an APA, Tax Gian’s transfer pricing team can help you stay compliant at every stage.
What Is an Advance Pricing Agreement in the UAE?
An APA is an agreement between the FTA and a taxpayer that sets the criteria for determining the arm’s length price of Controlled Transactions over a fixed period. It is permitted under Article 59 of Federal Decree-Law No. 47 of 2022 (the Corporate Tax Law), while Article 34 requires related party transactions to meet the arm’s length standard.
Once signed, the APA binds both you and the FTA. If you comply with every term, the FTA will not contest the arm’s length price or the transfer pricing method for the covered periods.
Why APA Compliance Matters
Many businesses treat the signing of an APA as the finish line. In practice, it is the start of an ongoing compliance obligation.
The consequences of getting it wrong are significant:
Loss of tax certainty: the protection against FTA challenge applies only while you comply.
Retrospective revocation: if an APA is revoked, the revocation takes effect from the first Tax Period covered by the APA.
Return to standard rules: the previously covered transactions become subject to the Corporate Tax Law and the Tax Procedures Law, including transfer pricing scrutiny and administrative penalties.
Wasted investment: application fees are non-refundable, and the time spent on pre-filing, benchmarking and negotiation is lost.
The Most Common APA Non-Compliance Risks (and How to Avoid Them)
1. Breaching Critical Assumptions
Critical assumptions are the conditions on which the APA depends. They can cover operations, legal structure, financial and tax conditions, and other facts such as functions performed, assets used and risks assumed.
Any breach can render the APA ineffective, and the FTA can revoke or cancel an APA where critical assumptions are breached.
To manage this risk:
- Keep a register of every critical assumption in your APA, with an owner for each.
- Monitor events such as restructurings, changes in shareholding, new products, changes in pricing policy or significant swings in market conditions.
- Review the register quarterly and before any major commercial decision.
- Notify the FTA within 20 Business Days of any modification or violation, with a sufficient and reasonable justification.
2. Missing the APA Annual Declaration
You must file an APA Annual Declaration for each Tax Period covered by the APA, in the prescribed form. It must be filed within 90 Business Days from the date of the signed APA, or by the due date of the relevant Tax Return, whichever is later.
The declaration confirms, among other things, that:
- Controlled Transactions were carried out on the agreed terms.
- You complied with all terms and critical assumptions.
- The agreed transfer pricing method and any Profit Level Indicators were applied.
- Your audited Financial Statements reflect the agreed arm’s length price, or the adjustment is shown in the Tax Return.
- You have met the record-keeping requirements.
Build the declaration into your year-end close calendar, so it is prepared alongside the Corporate Tax Return rather than after it.
3. Inaccurate or Misleading Declarations and Applications
A material misrepresentation in the APA application or the Annual Declaration, attributable to neglect, carelessness or wilful default, is a ground for revocation.
You can reduce this risk by:
- Reconciling declared figures to the audited Financial Statements and the Tax Return.
- Having a transfer pricing specialist review the declaration before submission.
- Ensuring the authorised signatory understands that the declaration is made to the best of their knowledge, complete and accurate.
4. Not Applying the Agreed Method Consistently
The FTA may review whether the agreed most appropriate method has been applied consistently and accurately, and whether the supporting data and calculations are correct in all material respects.
Common causes of failure include:
- Intercompany invoices that do not follow the agreed pricing mechanism.
- Year-end true-up adjustments that are not documented.
- Changes in cost allocation methods without approval.
- Differences between the intercompany agreement and actual conduct. Discrepancies between legal contracts and actual business conduct also provide grounds to reject an APA application.
5. Weak Record-Keeping
Without good records, you cannot evidence compliance. The FTA’s Annual Declaration checklist asks for computations showing how you applied the transfer pricing method, audited Financial Statements, and a reconciliation between audited net income and taxable income.
Keep the following in an organised file for each Tax Period:
- Signed intercompany agreements and invoices.
- Benchmarking updates and working papers.
- Evidence of compliance with each critical assumption.
- Correspondence with the FTA.
6. Slow Responses to FTA Information Requests
The FTA expects you to respond to information requests within **40 Business Days** of the request date. Delays can result in rejection of an application during the process and can undermine your credibility during reviews.
Nominate a single point of contact internally and agree an escalation route with your Tax Agent.
7. Failing to Disclose Foreign APAs
If you obtain an APA from a foreign tax administration covering the same Controlled Transactions, you are obliged to notify the FTA. Make this part of your group tax governance process, particularly for multinational groups.
8. Missing the Renewal Window
An APA can be renewed where there are no material changes in business operations and facts, and the critical assumptions remain valid. A renewal request must be filed at least three months before the existing APA expires. A pre-filing consultation is not required, and the reduced AED 15,000 fee applies.
Diarise the renewal date at the point the APA is signed.
What Happens If You Do Not Comply?
The FTA’s response depends on the nature of the issue:
No change: where the review finds no material issues.
Revision: by mutual agreement, where conditions such as a change in law or in business circumstances have affected the APA.
Cancellation: if the FTA cannot agree a revision, the APA may be cancelled prospectively from the Tax Period in which the event occurred, remaining effective for earlier periods.
Revocation: for material misrepresentation, failure to meet material terms, or breach of critical assumptions. Revocation takes effect from the first Tax Period covered.
The difference between cancellation and revocation is critical. Cancellation limits the damage to future periods. Revocation removes the protection for the entire APA term.
