UAE Corporate Tax Groups vs Qualifying Groups: What Businesses Need to Know?

If you run several UAE entities, the choice between a Tax Group and a Qualifying Group affects your filing burden, loss relief and restructuring costs. The two regimes are often confused, yet they work very differently. This guide explains UAE corporate tax groups vs qualifying groups so you can decide which route suits your structure.

At Tax Gian, our corporate tax advisers help UAE groups choose, document and register the right structure. Here is what you need to know.

What Is a Tax Group Under UAE Corporate Tax?

A Tax Group is a formal election under Article 40 of Federal Decree-Law No. 47 of 2022. Two or more resident juridical persons are treated as a single taxable person. The parent company files one consolidated return for the whole group.

Ministerial Decision No. 125 of 2023 and the FTA’s Corporate Tax Guide on Tax Groups set out the detailed rules. Forming a Tax Group is optional.

Conditions to Form a Tax Group

  • Every member must be a UAE-resident juridical person
  • The parent must hold at least 95% of the share capital, voting rights and entitlement to profits and net assets of each subsidiary, directly or indirectly
  • No member can be an Exempt Person or a Qualifying Free Zone Person
  • All members must share the same financial year and use the same accounting standards
  • The conditions must be met continuously throughout the tax period

Key Benefits

  • One corporate tax return and one payment for the group
  • Tax losses of one member offset against profits of another
  • Transactions between members are generally disregarded
  • Simpler compliance and lower administrative cost

Key Risks

  • Members can be jointly and severally liable for the group’s tax, unless the FTA approves a limit
  • Falling below 95% ends the group, and you must notify the FTA within 20 business days
  • Losses a subsidiary brought in before joining can usually be used only against that subsidiary’s own income

What Is a Qualifying Group Under UAE Corporate Tax?

A Qualifying Group is not a filing structure. It is a relief regime under Article 26 and Ministerial Decision No. 132 of 2023. Each company still files its own return.

The relief lets members transfer assets and liabilities at net book value, with no gain or loss at the point of transfer.

Conditions for a Qualifying Group

  • Both parties must be taxable persons, resident or non-resident with a UAE permanent establishment
  • They must be linked by direct or indirect common ownership of at least 75%
  • Neither can be an Exempt Person or a Qualifying Free Zone Person
  • Both must have the same financial year end and use the same accounting standards

What You Must Do

  • Make an election in the tax return to claim the relief
  • Keep the transferred assets within the group
  • Watch the two-year window: if the assets or the relevant companies leave the group within two years, the relief can be reversed
